Terms of Service

1. Service Description

Select27 is an AI-first Software-as-a-Service (SaaS) platform that provides enterprise resource planning (ERP), customer relationship management (CRM), human resources, financial management, supply chain, and related business operations functionality. The platform is operated by Haile Holding B.V. (trading as Select27), registered at Arendstraat 35, 1223RE Hilversum, The Netherlands (CoC: 74295195). By using our services, you agree to these Terms of Service.

2. Account Terms

2.1 Registration

To use the platform, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

2.2 Account Responsibility

You are solely responsible for your account and any actions taken through it. You must immediately notify us at legal@select27.com if you suspect unauthorized access to your account.

2.3 Age Requirements

You must be at least 18 years of age, or the legal age of majority in your jurisdiction, to create an account and use the platform. By registering, you represent and warrant that you meet this requirement.

3. Acceptable Use Policy

You agree not to use the platform to:

• Violate any applicable law, regulation, or third-party rights.
• Upload or transmit malicious code, viruses, or any harmful software.
• Attempt to gain unauthorized access to any part of the platform, other user accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the platform.
• Use the platform for any fraudulent, deceptive, or illegal purpose.
• Reverse-engineer, decompile, or disassemble any part of the platform.
• Resell, sublicense, or redistribute access to the platform without our written consent.
• Use automated means (bots, scrapers) to access or extract data from the platform beyond what is permitted by our API.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.

4. Payment Terms

4.1 Subscription Model

Select27 operates on a subscription basis. Plans are available on monthly or annual billing cycles as described on our pricing page. All prices are quoted in euros (EUR) unless otherwise indicated.

4.2 Billing and Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You will be charged at the then-current rate for your plan. We will notify you of any price changes at least 30 days before they take effect.

4.3 Refunds

Payments are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to the platform until the end of your current billing period.

5. Intellectual Property

The Select27 platform, including its design, code, features, documentation, branding, and all related intellectual property, is owned by Haile Holding B.V. (trading as Select27) and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business purposes during the term of your subscription.

6. Data Ownership

You own your data. All data you enter into or generate through the platform (including contacts, invoices, employee records, financial data, and any other business information) remains your property. We do not claim any ownership rights over your data.

You grant us a limited license to process, store, and transmit your data solely for the purpose of providing and improving the platform. We will never sell your data to third parties.

Upon termination of your account, you may request an export of your data in a standard machine-readable format. We will retain your data for a reasonable period (up to 90 days) after termination to facilitate data export, after which it will be permanently deleted.

7. Service Availability

We target a service availability of 99.9% uptime on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance whenever possible.

While we strive to maintain high availability, we do not guarantee uninterrupted or error-free service. We shall not be liable for any downtime or service interruptions caused by factors outside our reasonable control, including but not limited to natural disasters, third-party service failures, or cyberattacks.

8. AI Services

8.1 AI Assistant

Select27 includes an AI assistant ("Solomon AI") powered by third-party AI technology. The AI assistant is provided as a productivity tool and is not a substitute for professional advice.

8.2 Accuracy

AI-generated content may contain inaccuracies. You are solely responsible for reviewing and verifying AI output before acting on it, especially for financial, legal, or HR decisions.

8.3 Data Processing

When you use the AI assistant, your messages and relevant business context are processed by our AI provider (Anthropic). See our Privacy Policy for details.

8.4 Limitation of Liability for AI

We do not guarantee the accuracy, completeness, or suitability of AI-generated content. Select27 is not liable for decisions made based on AI output.

8.5 Acceptable Use of AI

You agree not to use the AI assistant to generate content that violates applicable law or our Acceptable Use Policy.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Haile Holding B.V. (trading as Select27) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• Our total aggregate liability for any claims arising out of or related to these Terms or the platform shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not liable for any loss or damage resulting from your failure to maintain the security of your account credentials.

10. Indemnification

You agree to indemnify, defend, and hold harmless Haile Holding B.V. (trading as Select27), its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the platform, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may terminate your account at any time through your account settings or by contacting us at legal@select27.com.

We may suspend or terminate your access to the platform immediately, without prior notice, if you breach these Terms, engage in conduct that we determine to be harmful to other users or the platform, or fail to pay applicable fees.

Upon termination, your right to access the platform ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree with the changes, you must stop using the platform and terminate your account.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
